OCT 13 2025 <br /> D: Librpry (,�) <br /> p�sun DUirio (qz) LICENSE AGREEMENT <br /> [821 NORTH VAN NESS STREET, SANTA ANA, CALIFORNIA 927011 <br /> This License is dated October 18, 2025. I/we, Orange County Employees Association, as the legal <br /> owner ("Licensor") of the property located at 821 North Van Ness Street, Santa Ana, California, <br /> 92701, Assessor Parce] Number 005-144-32 (the "Property"), attached hereto, do hereby grant to <br /> the City of Santa Ana, a charter city and municipal corporation duly organized and existing under <br /> the Constitution and the laws of the State of California (collectively referred to as the "City") a <br /> non-exclusive License for the following purpose: <br /> Free public parking for City of Santa Ana Library patrons every Saturday from 9:00 <br /> A.M. to 8:00 P.M. for the term of this License. The License area is identified in the <br /> attached Exhibit A. The marked parking stalls illustrated in the attached Exhibit A <br /> will be used by City Library patrons and staff. <br /> 1. Sianage. City agrees to post a sign every Saturday identifying the Property as parking for <br /> patrons of the Santa Ana Library only between the hours of 9 A.M. and 8 P.M. <br /> 2. Indemnification. The City agrees to indemnify, defend, and hold harmless Licensor from <br /> and against any and all actions, suits, claims, demands, judgments, losses, expenses, or <br /> liabilities, injuries and damages to persons and property, including death, arising out of <br /> City's use of the Property. <br /> 3. Repair of damage. The City further agrees to repair any damage to the Property caused by <br /> the exercise of this License at its sole cost and expense, and to restore the Property, as <br /> nearly as practicable to the state in which it existed prior to the use of the Property by the <br /> City. <br /> 4. Exclusive rights. The rights herein granted to the City, are exclusive, and the City agrees <br /> not to assign, transfer, lease, pledge, or otherwise dispose of its License without the prior <br /> express written approval of the Licensor. <br /> 5. Exviration and termination. This License shall expire after one (1) year from the date set <br /> forth in the first paragraph, unless terminated pursuant to thirty(30) days advance written <br /> notice by either City or Licensor. <br /> 6. License fee. City shall pay to Licensor$625 a month or for any portion of a month if the <br /> License begins or ends after the first of the month, during the term of this License, for a <br /> total not to exceed amount of$7,500. OCEA shall invoice City on the first day of each <br /> month. City will have thirty (30) days to make payment and all payments shall be made <br /> payable to "Orange County Employees Association." <br /> 7. Signatories are authorized. The persons executing this Agreement on behalf of the parties <br /> hereto represent and warrant to the other party that they are duly authorized to execute and <br /> deliver this Agreement on behalf of such party, and by so executing this Agreement, said <br /> party is formally bound to the provisions of this Agreement. <br /> Page 1 of 2 <br />
