Docusign Envelope ID: EFBAE12B-2D33-4288-BDF3-3F19BEEB5A9F <br />may be brought or arise out of, in connection with or by reason of this Agreement. <br />21.PROFESSIONAL LICENSES <br />Contractor shall, throughout the term of this Agreement, maintain all necessary licenses, <br />permits, approvals, waivers, and exemptions necessary for the provision of the services hereunder <br />and required by the laws and regulations of the United States, the State of California, the City of <br />Santa Ana and all other governmental agencies. Contractor shall notify the City immediately and <br />in writing of its inability to obtain or maintain such permits, licenses, approvals, waivers, and <br />exemptions. Said inability shall be cause for termination of this Agreement. <br />22.FEDERAL REGULATIONS <br />a. Convergint Technologies, LLC shall comply with all applicable contractual provisions <br />required by the United States Office of Management and Budget (OMB), as set for the in <br />2 CRF Part 200, whether or not expressly set forth in this document, including but not <br />limited to those provisions set forth below. Notwithstanding, anything to the contrary <br />herein, including without limitation, the language in this Agreement, the actual language <br />contained in federal statutes, federal regulations, federally promulgated materials and state <br />statutes, shall control in determining any obligations under federal law in the event of a <br />conflict with any terms, language or provisions contained in this Agreement. Meridian <br />Rapid Defense Group, LLC shall not perform any act, fail to perform any act, or refuse to <br />comply with any requests, which would cause City to be in violation of the federal terms <br />and conditions. <br />b. Convergint Technologies, LLC shall comply with all Federal Regulations attached hereto <br />as Exhibit G and incorporated by reference to this Agreement. <br />23.NOTICE <br />Any notice, tender, demand, delivery, or other communication pursuant to this Agreement <br />shall be in writing and shall be deemed to be properly given if delivered in person or mailed by <br />first class or certified mail, postage prepaid, or sent by fax or other telegraphic communication in <br />the manner provided in this Section, to the following persons: <br />To City: <br />City Clerk <br />City of Santa Ana <br />20 Civic Center Plaza (M-30) <br />p.o.
