City and Owner are collectively referred to herein as the "Parties" and <br /> individually as a"Party." <br /> RECITALS <br /> A. Owner owns the real property located at 3601, 3611, 3621 and 3631 S. Harbor <br /> Boulevard in the City of Santa Ana, California,identified as Orange County Assessor's Parcel No. <br /> 414-261-07 and more particularly described in Attachment A (the "Property"), having <br /> approximately 151,791 rentable square feet(sf). <br /> B. The Property is comprised of four (4) office buildings zoned `P' (Professional) in <br /> the Santa Ana Municipal Code ("SAMC") <br /> C. Prior to Owner's acquisition of the Property, and as of the date of this Agreement, <br /> the Property is being used for commercial office purposes. <br /> D. Owner intends to lease a portion of the Property to Cristo Rey Orange County High <br /> School, Inc., a California nonprofit religious corporation (the "School"). <br /> E. Approval for the School's use of the Property will require the issuance of a <br /> Conditional Use Permit("CUP")by City("Project Approval"). <br /> F. Project Approval would allow the School to occupy the entire building located at <br /> 3611 S. Harbor Boulevard (45,148 sf) and the second floor of 3601 S. Harbor Boulevard (18,033 <br /> sf), collectively referred to as the "School's Share" of the Property, and equivalent to <br /> AGREEMENT FOR PAYMENT IN-LIEU OF TAXES <br /> 1 <br /> 109231\18768373vi <br />
