This Agreement shall be governed by and construed in accordance with the laws of the State of California, <br /> without regard to conflict-of-laws principles. Any legal action or proceeding arising out of or relating to this <br /> Agreement shall be brought exclusively in the state or federal courts located in Riverside County, California, <br /> and each Party irrevocably submits to the personal jurisdiction and venue of such courts, This Agreement <br /> constitutes the entire agreement among the Parties with respect to the subject matter hereof and supersedes <br /> all prior or contemporaneous agreements, negotiations, or understandings, whether written or oral, This <br /> Agreement may be amended or modified only by a written instrument executed by all Parties. No waiver of any <br /> provision of this Agreement shall be effective unless in writing and signed by the Party against whom the waiver <br /> is asserted, and no waiver shall be deemed a waiver of any subsequent breach. If any provision of this <br /> Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining <br /> provisions shall continue in full force and effect. <br /> Notwithstanding the foregoing, nothing in this Agreement is intended to, not shall it be construed to, require the <br /> Owner or any other public agency party to take any action in violation of applicable law, regulation, or public <br /> contracting requirements, including California Public Contracts Code section 22300,and all obligations of such <br /> public agency are subject to and limited by applicable statutory and constitutional restrictions, <br /> Escrow Agent may resign at any time upon thirty (30) days' prior written notice to the other Parties, and upon <br /> such resignation may, at its option, deliver the Escrow Account assets to a successor escrow agent reasonably <br /> acceptable to Escrow Agent or deposit such assets with a court of competent jurisdiction by interpleader, <br /> whereupon Escrow Agent shall have no further liability except for acts or omissions occurring prior to the <br /> effective date of resignation.
