Regulatory Supremacy. Escrow Agent's obligations are subject to all applicable banking laws, sanctions <br /> programs(including OFAC), clearing system rules, and internal Bank policies. <br /> B. Standard of Care. Escrow Agent shall not be liable absent gross negligence or willful misconduct, <br /> C. Expanded Indemnification. Owner and Contractor jointly and severally indemnify, defend,and hold harmless <br /> Escrow Agent and its affiliates from all claims relating to the escrow. <br /> D. Interpleader and Suspension, Escrow Agent may suspend performance or interplead escrowed assets upon <br /> conflicting claims. <br /> E. Survival.
