G2 Advisory Group "G2" will serve as the City's lead negotiator to ensure the final management contract protects the City's interests and establishes clear performance expectations. Scope of Services G2 will provide the following services: A. Contract Review and Analysis Review the proposed management contract and identify key terms, provisions requiring negotiation, potential risk areas, and opportunities to strengthen the City's position. B. Negotiation Strategy and Deal Points Prepare a comprehensive list of deal points for negotiation, including recommendations on contract structure, performance requirements, financial terms, and risk allocation. Develop negotiation strategy and priorities in consultation with City staff. C. Lead Negotiation Services Serve as the City's lead negotiator in meetings and discussions with the selected management company, Advocate for the City's interests while working toward a mutually acceptable agreement that establishes clear expectations and protections. Deliverables Tentative Agreed List of Deal Points This deliverable will document the negotiated terms and serve as the foundation for finalizing the management contract. Timeline Services are already underway and must be completed within 10 days from authorization of this Task Order. Professional Fees Time and materials basis at $265 per hour for Principal (Gabe Gonzalez). G2 will track time in quarter-hour increments and invoice monthly or upon completion of services, whichever occurs first. Authorization This Task Order is authorized under the professional services agreement between G2 Advisory Group LLC and the City of Santa Ana. 2
