<br /> <br /> <br />FIRST AMENDMENT TO AGREEMENT WITH E SOURCE COMPANIES. LLC TO PROVIDE <br />AMI IMPLEMENTATION SUPPORT SERVICES FOR THE CITY OF SANTA ANA <br /> <br />THIS FIRST AMENDMENT to the above-referenced agreement is entered into on April 7, 2026 by and <br />between E Source Companies, LLC, a Delaware limited liability company (“Consultant”) and the City of <br />Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws <br />of the State of California (“City”). <br />RECITALS <br />A. The parties entered into Agreement No. A-2024-133, dated August 20, 2024 (“Agreement”) by which <br />Consultant agreed to provide Automated Metering Infrastructure (AMI) Implementation Support Services <br />for the Public works Agency Water Resources Division, including but not limited to project management, <br />software integration, data management, and performance analysis. <br />B. The term of the Agreement runs through December 31, 2027, and is current and in effect. <br />C. The parties now wish to amend the Agreement to increase the overall compensation to Consultant under <br />the Agreement. <br />D. No other changes are contemplated by this Amendment. <br /> <br />The Parties therefore agree: <br />1. Section 2.a., COMPENSATION, is amended to increase the overall compensation by $125,000. <br />The total amount to be expended under the term of this Agreement, including any extensions <br />exercised by the parties, shall not exceed $575,000. <br /> <br />2. Except as modified by this First Amendment, all terms and conditions of the Agreement shall <br />remain in full force and effect. <br /> <br />[signature page to follow] <br />
