<br /> <br />Commencement Date, and subject to the terms of this Agreement, the obligations of the County to duly observe and <br />comply with the Service Covenant, in accordance with Applicable Law, shall apply continuously and without <br />interruption for the Term of this Agreement. In the event that any Change in Law, situation, event or other <br />Uncontrollable Circumstance impairs or precludes compliance with the Service Covenant by the means or methods <br />then being employed by the County, the County shall use best efforts to implement alternative or substitute means and <br />methods to enable it to satisfy the terms and conditions of the Service Covenant. In the event that a Change in Law <br />precludes the County from complying with such covenants with the means or methods then being employed and from <br />utilizing any alternate or substitute means or methods of compliance, the County shall continuously use all reasonable <br />efforts to effectuate executive, legislative or judicial change in or relief from the applicability of such law so as to <br />enable the County lawfully to resume compliance with such covenants as soon as possible following the Change in <br />Law. <br /> <br />County failure to duly observe and comply with the Service Covenant due to its efforts to comply with Applicable <br />Law, shall not constitute a breach under this Agreement, and shall excuse County performance to the extent necessary <br />to comply with Applicable Law. <br /> <br />If the alternative or substitute means and methods proposed for the County to observe and comply with the Service <br />Covenant are more costly than the previously used means and methods, County shall be entitled to a corresponding <br />Contract Rate increase to cover any associated additional costs pursuant to the provisions of Section 4.2 of this <br />Agreement. <br /> <br />SECTION 3.3 COUNTY RIGHT TO REFUSE WASTE. <br /> <br />(A) Right of Refusal. Notwithstanding any other provision hereof, the County may refuse delivery of: <br /> <br />(1) Hazardous Waste; <br /> <br />(2) Controllable Waste delivered at hours other than those provided in Section 3.5 hereof; <br /> <br />(3) Waste that does not constitute Acceptable Waste; <br /> <br />(4) Acceptable Waste delivered by City but originating from or generated outside the <br />jurisdiction of the City; <br /> <br />(5) Controllable Waste consisting primarily of construction and demolition debris or inert <br />material which may cause a particular facility’s daily tonnage limit to be exceeded; <br /> <br />(6) Acceptable Waste in excess of permitted limits; and <br /> <br />(7) Acceptable Waste that would result in County violating Applicable Law. <br /> <br />(B) Identification of Unacceptable Waste. The Department shall have the right (but not the duty <br />or the obligation) to inspect the vehicles of all Franchise Haulers delivering material to the Waste Infrastructure <br />System, and may require that the Franchise Hauler remove any Unacceptable Waste from such vehicle before it is <br />unloaded. If the Department determines that it is impractical to separate Controllable Waste from Unacceptable Waste <br />in any vehicle, or if the Franchise Hauler delivering such waste is unwilling to make such separation, or if any vehicle <br />is carrying waste which may spill or leak, then the Department may reject the entire vehicle, and the City shall forthwith <br />remove or cause the removal of the entire delivery from the Waste Infrastructure System. The Department may take <br />all reasonable measures to prevent waste from being blown or scattered before and during unloading. The City shall <br />cause the Franchise Haulers to observe and comply with Applicable Law, the operating rules and regulations of the <br />Department, and the provisions of this Agreement prohibiting the delivery of Unacceptable Waste to the Waste <br />Infrastructure System. <br /> <br />(C) Hazardous Waste and Hazardous Substances. The parties acknowledge that the Waste <br />Infrastructure System has not been designed or permitted to accept Hazardous Waste or Hazardous Substances, and is
