CONTRACTOR: <br /> Santa Ana Golf, LLC <br /> CourseCo, Inc. <br /> 5341 Old Redwood Hwy, Suite 201 <br /> Petaluma, CA 94952 <br /> Attention: Michael Sharp <br /> (707) 763-0335 <br /> Each party shall have the right to designate a different address within the United States of America <br /> by the giving of notice in conformity. <br /> 12.4 Attachments. This Agreement includes the following, which are attached hereto <br /> and made a part hereof: <br /> Exhibit A—Facility Map <br /> Exhibit B—Standards of Maintenance and Other Responsibilities of Contractor <br /> Exhibit C—Insurance Requirements <br /> 12.5 No Partnership or Joint Venture. Nothing contained in this Agreement shall be <br /> construed to be or create a partnership or joint venture between City and its successors and assigns, <br /> on the one part, and Contractor and its successors and assigns, on the other part. <br /> 12.6 Modification and Changes. This Agreement may be amended or modified in <br /> writing approved as to form by the City Attorney and any such amendment shall be properly <br /> executed by both parties. <br /> 12.7 Compliance with all Laws. In performing the Services, Contractor shall, as an <br /> Operating Expense, comply with all statutes, ordinances, regulations, and requirements of all <br /> governmental entities, including federal, state, county or municipal, whether now in force or <br /> hereinafter enacted. In addition,all work prepared by Contractor shall conform to applicable local, <br /> county, state and federal laws, rules, regulations, and permit requirements and be subject to <br /> approval of the City Manager or their designee. Before providing any services under this <br /> Agreement, Contractor shall, as an Operating Expense of the Facility, obtain and maintain any <br /> certificates, licenses and permits which may be required to permit Contractor to do business in the <br /> City, including the City of Santa Ana. For clarity and the avoidance of doubt, nothing in this <br /> section shall require Contractor to expend its own funds to obtain all necessary licenses, permits <br /> and certificates required for the operation of the Facility and the business conducted at the Facility, <br /> the costs of which will be an Operating Expense of the Facility. <br /> 12.8 Conflicts or Inconsistencies. In the event there are any conflicts or inconsistencies <br /> between this Agreement and the Exhibits or any other attachments attached hereto, the terms of <br /> this Agreement shall govern. <br /> -27- <br />
