Contractor agrees at all times to act with respect to, and comply with, the <br /> CalHome Program, CalHome activities and to use funds committed herein in <br /> conformity with all laws applicable to the CalHome Program. <br /> C. Contractor agrees to comply with applicable federal, state, tribal laws, rules <br /> regulations, Guidelines and local ordinances that pertain to construction, health <br /> and safety, labor, fair employment practices, equal opportunity, and all other <br /> matters where applicable to the Contractor and Borrower, its contractors or <br /> subcontractors, and any Loan activity, including without limitation laws applicable <br /> to the CalHome Program. <br /> 27. Vested Rights <br /> The parties acknowledge that the rights, liens, security interests, and remedies <br /> described in or provided by this Agreement and other security documents constitute the <br /> property of the Department. Where applicable, Contractor covenants and agrees that it <br /> is legally precluded under the Indian Civil Rights Act, 25 U.S.C. § 1302, and other legal <br /> precedents from taking such property for a public use without just compensation or from <br /> depriving the Department of such property without due process of law or from denying <br /> them the equal protection of the laws. Generally, such property and rights, under the <br /> other legal precedents referenced, are intended to be protected and enforceable by the <br /> courts of the United States, the State of California, and the tribal courts. Specifically, <br /> such property and rights under 25 U.S.C. § 1302 are intended to be protected and <br /> enforceable by the Tribal Courts and by the courts of the United States. <br /> 28. Assignment of Agreement, Assignment of Loan Commitment <br /> A. This Agreement shall be binding on the parties hereto, their assigns, successors, <br /> administrators, executors, and other representatives. This Agreement is not <br /> assignable, either in whole or part, without the prior written approval of the <br /> Department in its sole and absolute discretion. <br /> B. This Agreement represents a conditional commitment of funds for <br /> accomplishment of the Work. This conditional commitment of funds shall not be <br /> assigned, transferred, or otherwise alienated, in whole or in part by the <br /> Contractor or any other person or entity which, pursuant to the Application or the <br /> description of the Work, anticipates receiving any funds encumbered by this <br /> Agreement without the prior express and written consent of the Department. Any <br /> such assignment, transfer or act of alienation is invalid and may result in the <br /> termination of this Agreement. <br /> 29.
