DATE AUG 2 6 WO FIRST AMENDMENT TO AGREEMENT THIS FIRST AMENDMENT TO AGREEMENT is entered into on July 7, 2010, by and between Econolite Traffic Engineering and Maintenance, Inc. ("Consultant") and the City of ?-? Santa Ana ("City"). RECITALS: cY O A. The parties entered into Agreement A-2008-084, dated May 5, 2008, (hereinafter "said 1 Agreement") by which Consultant has provided street light upgrade services for the Floral Park Neighborhood. B. The Parties intended that the streetlight upgrade project would be a three year project. Based on that intent, the Contractor has continued to provide services, however, the parties did not execute the writing extending the term. C. The Parties now desire to execute this First Amendment to Agreement, extending the term to allow the project to continue uninterrupted. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section 3, TERM, shall be deleted in its entirety and replaced with the following: "This Agreement shall commence on May 5, 2008 and will terminate June 30, 2011, unless terminated earlier in accordance with Section 12, below. The term of this Agreement may be extended upon the written approval of the Executive Director of the Public Works Agency and the City Attorney." 2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
