EXHIBIT 1 <br /> AGREEMENT WITH NEW BKM OFFICE ENVIRONMENTS, INC. TO PROVIDE <br /> PUBLIC AND OFFICE FURNITURE AND INSTALLATION SERVICS FOR THE <br /> HOUSING AUTHORITY <br /> THIS AGREEMENT is made and entered into on this 21" day of April, 2026 by and between <br /> BKM Office Environments, Inc., ("Contractor"), and the Housing Authority of the City of Santa <br /> Ana, a public body, corporate and politic ("Authority"). The City of Santa Ana shall be referred <br /> to as "City." <br /> RECITALS <br /> A. On December 18, 2025,the Authority issued Request for Proposals No. 25-127A("RFP"), <br /> on the City's online bid management and publication system,by which it sought proposals <br /> to provide comprehensive office furniture solutions, including design services, delivery, <br /> installation and project management. The Authority is renovating its offices and seeks <br /> durable, customizable modular furniture for individual offices, work stations, conference, <br /> reception and shared areas. <br /> B. Contractor submitted a responsive proposal that was selected by the Authority. Contractor <br /> represents that Contractor is able and willing to provide such services to the Authority <br /> described in the scope of work that was included in the RFP. The RFP is referenced herein <br /> as if incorporated in full. <br /> C. In undertaking the performance of this Agreement, Contractor represents that it is <br /> knowledgeable in its field and that any services performed by Contractor under this <br /> Agreement will be performed in compliance with such standards as may reasonably be <br /> expected from a professional consulting firm in the field. <br /> NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br /> terms and conditions hereinafter set forth, the parties agree as follows: <br /> 1. SCOPE OF SERVICES <br /> Contractor shall perform during the term of this Agreement, the tasks and obligations <br /> including all labor, materials, tools, equipment, and incidental customary work required to fully <br /> and adequately complete the services described and set forth in Scope of Services - Exhibit A, <br /> attached hereto and incorporated by reference. <br /> 2. COMPENSATION <br /> a. Authority agrees to pay, and Contractor agrees to accept as total payment for its <br /> services for Authority, the rates and charges identified in Compensation - Exhibit B. <br /> The total amount to be expended during the term of this Agreement shall not exceed <br /> $247,823.27. <br /> b. Payment by Authority shall be made within forty-five (45) days following receipt of <br /> 1 <br />
