EXHIBIT 2 CITY OF SANTA ANA T. PARKING The City will not provide free parking and/or reimbursement for the cost of parking while providing services and conducting business with the City. U. PROFESSIONAL STANDARDS Consultant staff shall be courteous to the public and City staff utilizing facilities where Consultant is performing work, but shall be responsive only to the requests of the City's Project Manager or designee. Consultant staff shall direct all inquiries to Project Manager or designee. Consultant acknowledges that City locations consist of public-use facilities and recognizes the obligation to ensure Consultant personnel and agents maintain the highest level of professional standards in attire, decorum, and interaction with the public and City personnel. V. PROJECT MANAGER The selected Proposer will assume responsibility for all services in its proposal. The selected Proposer shall identify a sole point of contact, Project Manager, with the greatest knowledge in regard to the required service operations and contractual matters, including payment of any and all charges resulting from the Agreement. W. PROPOSAL VALIDITY Services, pricing, and warranties indicated in a Proposer's Proposal must be valid for a period of 180 days at minimum after the submission of the Proposal. X. PUBLIC AGENCIES Other public agencies, as defined by California Government Code Section 6500, may choose to use the terms of this Agreement, subject to Consultant's acceptance. The City is not liable or responsible for any obligations related to a subsequent Agreement between Consultant and another public agency. Y. PUBLIC RECORDS Proposals will become public record after the award of an Agreement unless the proposal or specific parts of the proposal can be shown to be exempt by law. Each Proposer may clearly label all or part of a proposal as"CONFIDENTIAL" provided that the Proposer thereby agrees to indemnify and defend the City for honoring such a designation. The failure to so label any information that is released by the City shall constitute a complete waiver of any and all claims for damages caused by any release of the information. Proposer information identified as proprietary shall be maintained confidential, to the extent allowed under the California Public Records Act. Z. SUBCONSULTANTS Proposals in response to this RFP must identify any Subconsultants, and outline the contractual relationship between the Awarded Subconsultant and each Subconsultant. An official of each proposed Subconsultant must sign, and include as part of the proposal submitted by the Prime Consultant, a statement to the effect that the Subconsultant has read and will agree to abide by the awarded Consultant's obligations.Any Subconsultant proposed after award of Agreement must be approved by the City before commencement of work. The City will look solely to the awarded Consultant for the performance of all contractual obligations which may result from an award based on this RFP, and the awarded Consultant shall not be relieved for the non-performance of any or all Subconsultants.
