DBA HomeAid Orange County Los Angeles, a California nonprofit public <br /> benefit corporation (the "Lessee"), and the Department of Housing and Community <br /> Development, a public agency of the State of California (the "Department") in consideration <br /> of the following facts and circumstances: <br /> A. Landlord is the fee simple owner of that certain real property described in Exhibit A <br /> attached hereto and incorporated herein (the "Property"); <br /> B. Landlord and Shelter Providers of Southern California, Inc. DBA HomeAid Orange <br /> County Los Angeles, a California nonprofit public benefit corporation entered into the <br /> following ground lease of the Property: that certain Ground Lease dated December 7, 2021 <br /> and recorded in the official records of Orange County, California (the "Official Records"), that <br /> certain Memorandum of Lease dated December 30, 2022, and recorded in the Official <br /> Records on January 4, 2023, as instrument No. 2023000001781 of Official Records (the <br /> "Lease"); <br /> C. Pursuant to the Lease, Lessee has agreed to develop, construct, own, operate and <br /> manage a rental housing development on the Property consisting of not less than 17 <br /> residential rental units.
