SECOND AMENDMENT TO <br />CONSULTANT AGREEMENT <br />THIS SECOND AMENDMENT TO CONSULTANT AGREEMENT is entered into on <br />September 7, 2010, by and between Adlerhorst International, Inc., a California corporation <br />("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the State of <br />California ("City"). <br />Recitals: <br />A. The parties entered into Consultant Agreement A-2008-257, dated September 2, 2008 <br />(hereinafter "said Agreement") by which Consultant has provided police canine training <br />services. <br />B. The parties entered into the First Amendment to Agreement, #A-2009-145, dated September <br />8, 2009, in order to adjust the term and compensation of said Agreement. <br />C. In accordance with the terms and conditions of said Agreement, the parties wish to extend the <br />term of said Agreement for an additional one year period, and to approve the compensation <br />to pay for services during the extended term. <br />Wherefore, in consideration of the mutual and respective covenants contained in said <br />Agreement, and subject to all the terms and conditions of said Agreement, except those amended <br />in this First Amendment to Consultant Agreement, the parties agree as follows: <br />1. Section 2.a., COMPENSATION, shall be amended to add compensation not to exceed <br />$50,000.00 to pay for services provided during the extended term. <br />2. Section 3, TERM, shall be amended to extend the term of said Agreement through <br />September 30, 2011. <br />3. Except as amended hereinabove, all terms and conditions of said Agreement shall remain <br />in full force and effect. <br /> <br />250-3
