A-2009-118-01 <br />SEP 41 2 % +� <br />FIRST AMENDMENT TO CONSULTANT AGREEMENT <br />THIS FIRST AMENDMENT TO AGREEMENT, made and entered into this 114fh <br />day of S9-9'Vr12010, by and between GeoSpatial Technologies, Inc. ("GST"), a <br />corporation, (hereinafter "Consultant"), and the City of Santa Ana, a charter city and <br />C�- municipal corporation organized and existing under the Constitution and laws of the State <br />of California (hereinafter "City"). <br />d d RECITALS <br />O <br />A. The parties entered into Agreement 9 A-2009-118, dated August 3, 2009, (hereinafter <br />"Agreement") by which Consultant provided computer software and tech-nical <br />support for crime mapping, analysis, and reporting solutions. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to <br />amend said Agreement to provide additional support and maintenance of the installed <br />software, extend the term of the software support and maintenance provisions and <br />increase compensation to pay for the support and maintenance services during the <br />extended term. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />First Amendment to Agreement, the parties agree as follows: <br />1. Section 1, SCOPE OF SERVICES, shall be amended such that Consultant shall <br />perform those services as set forth in Exhibit A, attached hereto and incorporated by <br />reference. <br />2. Section 2, COMPENSATION, shall be amended to increase compensation to <br />$10,500.00 to pay for an additional term, August 3, 2010 through August 2, 2011, of <br />maintenance and support services for the products installed pursuant to said Agreement, <br />as set forth in Exhibit B, attached hereto and incorporated by reference. <br />2. Section 3, TERM, shall be amended to extend the warranties, maintenance and <br />support for an additional period from August 3, 2010 through August 2, 2011. In order to <br />provide continuous uninterrupted service, all services provided by Consultant since <br />August 3, 2010, shall be included within the Scope of Services of this Agreement. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall <br />remain in full force and effect. <br />
