C -9 -0258 <br />public use, on a temporary basis if certain improvements are made to the SATT and <br />AUTHORITY is reimbursed for the cost of those improvements and the cost of maintaining the <br />restrooms; and <br />WHEREAS, COUNTY and CITY are willing to reimburse AUTHORITY for the cost of <br />necessary improvements and the cost of maintenance. <br />NOW, THEREFORE, it is mutually understood and agreed by AUTHORITY, COUNTY <br />and CITY as follows: <br />ARTICLE 1. COMPLETE AGREEMENT <br />This Agreement, including all exhibits and documents incorporated herein and made <br />applicable by reference, constitutes the complete and exclusive statement of the terms and <br />conditions of the Agreement between AUTHORITY, COUNTY and CITY and it supersedes all <br />prior representations, understandings and communications between the PARTIES. The <br />above - referenced Recitals are true and correct and are incorporated by reference herein. <br />ARTICLE 2. PURPOSE <br />This Agreement establishes the terms and conditions for: <br />A. Use of the restrooms located within the SATT by the general public until the property is <br />redeveloped and leased for commercial purposes, <br />B. The design and construction of necessary improvements to the SATT that will permit the <br />restroom facilities to be used by the general public, <br />C. Providing necessary custodial and maintenance services, <br />D. Providing security, and <br />E. Financial obligations of the PARTIES related to the interim public use of the restrooms <br />located in the SATT. <br />ARTICLE 3. IT IS MUTUALLY UNDERSTOOD AND AGREED <br />A. This Agreement may be amended in writing at any time by the mutual consent of all parties. <br />No amendment shall have any force or effect unless executed in writing by both parties. <br />Page 2 of 12 <br />
