v y PPC Ke %+ Yamagu011 N-2009-936-001 GU�RY2'rcNi INSURANCE NOT ON FILE WORK MAY NOT PROCEEPIRST AMENDMENT TO CONSULTANT AGREEMENT CLERK OF COUNC� DATE:No1J : r4 AMENDMENT made and entered into this 1st day of July, 2010 by and between the IDEXX Laboratories, a Maine corporation (hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). RECITALS A. The Parties entered into that certain Agreement N-2009-136 dated October 1, 2009 to provide veterinary laboratory services. B. The Parties seek to amend the Agreement by this Amendment. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Amendment, the parties agree as follows: 1. Section 1., SCOPE OF SERVICES, shall be deleted in its entirety and replaced with the following: 11 1. SCOPE OF SERVICES Consultant shall furnish veterinary laboratory services as described in Exhibit A, including blood analysis, urinalysis, cultures, parasitology and pathology work. 2. Section 2a., COMPENSATION, shall be deleted in its entirety and replaced with the following: 4'2. COMPENSATION a. City agrees to pay, and Consultant agrees to accept as total payment for its services, the rates and charges identified in Exhibit A-1, not to exceed $10,000.00 per 12 month period. 3. Section 3., TERM, shall be amended to provide that the Agreement shall terminate on June 30, 2011, unless terminated earlier in accordance with Section 12 of the Agreement. 4. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect. IN WITNESS WHEREOF, the parties hereto have executed this Agreement the date and year first above written.
