Addendum No. 1 to the <br />Customer Agreement dated 05/08/08 ("Agreement") <br />by and between <br />West Publishing Corporation doing business as Elite, a Thomson Reuters company ("Elite") <br />and <br />City of Santa Ana ("Customer") <br />Effective Date of Addendum: <br />Effect of Addendum: <br />This Addendum is made a part of the Elite Customer Agreement indicated above for the purpose of adding <br />Services, as follows: <br />Elite will provide migration and conversion services required to install ProLaw software on <br />the City's new product and test servers, including: <br />Elite will move application, database and all associated files from the current server <br />location to Customers new server. <br />Elite will restore and ensure ProLaw connects on the new server. <br />Elite will assist Customer with a random sampling to endure there is workstation <br />connectivity. <br />Elite will confirm successful completion of this project by matching to ensure ProLaw has <br />the same operability on the new server as it has on the old one. <br />Elite will ensure that Outlook Integration is migrated with its current functionality. <br />City will provide: <br />Remote administrative access to the servers. <br />City staff to facilitate to process and respond quickly should any problems arise. <br />Elite will provide Maintenance Services for any additional Software (if listed on the attached Software and Fees <br />Schedule 1) pursuant to the maintenance terms of the Elite Maintenance Addendum. <br />For the purposes of this Addendum, (i) the terms "License Fees" and "Service Fees," as used in the <br />Agreement's provisions regarding refunds, remedies and limitations and exclusions of liability, shall mean the <br />license fees and service fees set forth in Software and Fees Schedule 1, attached hereto; (ii) references to <br />"Software" shall mean the software listed in the Software and Fees Schedule 1; (iii) the term "Live Operation" <br />shall be deemed to refer to the Live Operation, as otherwise defined in the Agreement, of the software listed in <br />Software and Fees Schedule 1; and (iv) the "Warranty Period" shall mean the 90-day period beginning upon <br />the Live Operation of the software set forth in Software and Fees Schedule 1. <br />Thomson Reuters Confidential Information Page 2
