<br /> INSURANCE ON FILE <br /> WORK MAY PROCEED N-2008-090-002 <br /> UNTIL INSURANCE EXPIRES <br /> CLERK OF COUNCIL <br /> DATE: J M ra - 2 SEVENTH AMENDMENT TO AGREEMENT <br /> ARCS 22~ pC' <br /> SAV\U CueVAS THIS SEVENTH AMENDMENT TO AGREEMENT is entered into on January 3, 2010 <br /> by and between MARTIN TORRES, a sole proprietor ("Consultant") and the City of Santa Ana, <br /> a charter city and municipal corporation ofthe State of California ("City"). <br /> RECITALS: <br /> A. The parties entered into that certain Agreement N-2003-095, dated October 1, 2003, <br /> Amendment N-2003-095-01 dated September 15, 2004, Amendment N-2005-147 dated June <br /> 20, 2005, Amendment N-2006-144 dated June 19, 2006, Amendment N-2006-144-01 dated <br /> April 19, 2007, Amendment N-2008-090 dated May 16, 2008 and Amendment N-2008-090- <br /> 01 dated June 3, 2009 (hereinafter "said Agreement") by which Consultant has provided <br /> martial arts instruction for the City's leisure class program. <br /> B. In order to provide uninterrupted services, the parties agreed to continue to provide services <br /> pursuant to said Agreement. However, the parties inadvertently failed to execute a written <br /> amendment evidencing such agreement. <br /> C. In accordance with the terms and conditions of said Agreement, the parties wish to execute <br /> this Amendment to extend the term for an additional one-year period and to provide the <br /> funds necessary to pay for services during the extended term. <br /> WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br /> the terms and conditions of said Agreement, except those amended in this Seventh Amendment <br /> to Agreement, the parties agree as follows: <br /> 1. Section 2.a., COMPENSATION, shall be amended to increase compensation by $25,000 to <br /> pay for services provided during the 2010-2011 fiscal year. <br /> 2. Section 3. TERM, shall be amended to extend the termination date from June 30, 2010 to <br /> June 30, 2011. All services provided since July 1, 2010 shall be included within the term of <br /> this Seventh Amendment to Agreement. <br /> 3. Except as herein amended, all terms and conditions of said Agreement shall remain in full <br /> force and effect. <br /> 1 <br />
