MEMORANDUM OF UNDERSTANDING NO. C-9-0825 <br />EXHIBIT A <br />controlling all bus movements and operational functions on the BRT System and the <br />communications and administrative center for the BRT S stem. <br />Certification: The action of determining, verifying, and attesting in writing to the <br />ualifications of ersonnel, a ui ment and/or materials. <br />Change Orders: A written directive issued by AUTHORITY, authorizing the <br />CONSULTANT/CONTRACTOR to provide additional work, not originally included in the <br />CONTRACT. Change Orders are sequentially numbered, and follow an established <br />rocess/ rocedure from oint of ince tion throw h their execution. <br />Com onent: A iece or art of an Assembl ore ui ment such as a mechanical or <br />electrical art or su ort structure that is combined with other Com onents to form a <br />s stem, subs stem, Assembl ,sub Assembl or art. <br />CONSULTANT: A person, persons, firm, partnership, corporation, or combination <br />thereof which has entered into a CONTRACT with AUTHORITY to provide TSS Design, <br />Implementation and Finalization, Support Services, and other Program related <br />rofessional services, as identified in this Sco a of Work. <br />CONTRACT: A written, binding agreement executed between AUTHORITY and <br />CONSULTANT setting forth the obligations of the Parties there under. The CONTRACT <br />also includes all duly executed Change Orders issued subsequent to the original <br />execution of the CONTRACT. <br />Contract Documents: All volumes including, but not limited to, the Scope of Work <br />(Exhibit A), Drawings and Specifications (Exhibit B), Terms and Conditions (Exhibit C), <br />Special Conditions (Exhibit C), Performance bond, and Non-Collusion Affidavit; all of <br />which constitute one instrument. <br />Corridor: A consistent path and set of endpoints traversed by a BRT Bus in revenue <br />service for trans ortin assen ers. <br />Commercial-Off-The-Shelf (COTS): Referring typically to software products or <br />software-intensive products, meets all of the following requirements: <br />a. Exists a priori from a commercial vendor. <br />b. It is available to the corporate community. <br />c. It can be bow ht or leased or licensed . <br />D <br />Days: Unless otherwise designated, days as used in the Contract Documents shall be <br />understood to mean calendar da s. <br />Defect: Non fulfillment of an intended usage requirement or reasonable expectation. <br />Scope of Work 113 05/18/1 O
