Those situations <br />usually arise in complex real estate matters, litigation and special financial transactions such as <br />bond issues that require particular expertise or focused resources. The Agency first retained the <br />firm Richards, Watson & Gershon to provide special counsel services in February 2008. This <br />agreement was amended in March 2009 to increase the total contract authority from $10,000 to <br />$25,000, all of which has been fully expended. <br />The City Attorney's Office and Agency staff recommend the Agency Board authorize a second <br />amendment to the agreement to cover the costs incurred to evaluate the recent conflict of interest <br />issue related to the Station District project and to provide additional services related to the <br />challenge of the Downtown Community Management District. With the retirement of the former <br />Agency General Counsel, continuity and time requirements require ashort-term need for special <br />counsel services normally provided by the City Attorney's Office. The maximum hourly rate shall <br />remain at $275 per hour. The term of the contract will expire on June 30, 2011. <br />3®1 <br />
