INSURANCE Oil FILE N-2011-011 WORK MAY PROCEED UNTIL INSURANCE EXPIRES 6�e, CLERK OF COUNCIIJ AXI" CONSULTANT AGREEMENT DATE:-) FEB 2 2011 Tot1 �Q THIS AGREEMENT, made and entered into this 18 day of January. 2011 by and z�rba between La Jolla Institute (hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). RECITALS A. The City desires to retain a consultant having special skill and knowledge in the field of moderation for community forums. B. Consultant represents that Consultant is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall moderate a study session with the City Council on progress in implementing the City's recently updated Housing Element. The topics will include the City's Housing Opportunity Ordinance (inclusionary housing concept) and the rezoning of land for mixed-use and multifamily transit -oriented development along Harbor Boulevard (one of the City's transit corridors). This scope includes preparation and coordination between Consultant and City staff, as well as the creation of presentation materials and day-qf facilitation. This scope of work assumes that the PowerPoint presentation will consist of a compressed version of the Harbor Boulevard Open House presentatiQrn conducted in December 2010, and will also draw from draft PowerPoint materials previously prepared by the City for in-house discussions on the inclusionary concept. 2. COMPENSATION a. The total sum to be expended under this Agreement, which City agrees to pay, and Consultant agrees to accept as total payment for its services, shall not exceed $5,000.00 during the term of this Agreement.
