among the Parties in the course of administering this Agreement will be construed <br />to waive any Party's rights to (i) insist upon the performance by any other Party <br />of any covenant in this Agreement or (ii) exercise any rights given it on the <br />account of any breach of such covenant. A waiver of any particular breach will <br />not be deemed to be a waiver of same or any other subsequent breach. <br />12.13. Exhibits. Each of the Exhibits attached hereto shall be incorporated in this <br />Agreement as if set forth in full herein. <br />12.14. Headings. The descriptive headings used in this Agreement are for convenience <br />only and shall not affect the meaning of any provision of this Agreement. <br />12.15. Cooperation. Each Party agrees to cooperate with the other in implementation of <br />this Agreement. <br />19
