the name, address, income and age of each occupant of a Rental Unit, the bedroom count and <br />Monthly Rent for such Rental Unit. The Agency agrees that the Developer may submit reporting <br />forms prepared and submitted in connection with any other similar reporting requirement, <br />including reports prepared for tax credit compliance, to the extent those forms contain the <br />information required hereunder. Representatives of the Agency shall be entitled to enter each <br />Phase of the Rental Portion of the Project, upon at least seventy-two (72) hours, prior written <br />notice, to monitor compliance with this Agreement, to inspect the records, and to conduct an <br />independent audit or inspection of such records. The Developer agrees to cooperate with the <br />Agency in making each Phase of the Rental Portion of the Project available for such inspection <br />or audit. The Developer agrees to maintain records in a businesslike manner, and to maintain <br />such records for the term of this Agreement. <br />11. Successors and Assigns. This Agreement shall run with the land, and all of the <br />terms, covenants and conditions of this Agreement shall be binding upon the Developer and the <br />Agency and the permitted successors and assigns of the Developer and the Agency. Whenever <br />the term "Developer," or "Agency" is used in this Agreement, such term shall include any other <br />successors and assigns as herein provided. <br />12. No Third Party Beneficiaries. This Agreement is made and entered into for the <br />sole protection and benefit of the Agency and its successors and assigns, and Developer and its <br />successors and assigns, and no other person or persons shall have any right of action hereon. <br />13. Partial Jnvalidity. If any provision of this Agreement shall be declared invalid, <br />illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions <br />hereof shall not in any way be affected or impaired. <br />14. Governing Law. This Agreement and the documents and other instruments <br />given pursuant hereto shall be construed in accordance with and be governed by the laws of the <br />State of California. Any references herein to particular statutes or regulations shall be deemed to <br />refer to successor statutes or regulations, or amendments thereto. <br />15. Amendment. This Agreement may not be changed orally, but only by agreement <br />in writing signed by Developer and the Agency. <br />16. Definitions.
