20. Governing Law. Homebuyer hereby agrees to comply with all ordinances, rules <br />and regulations of Agency and the City. Nothing in this Restriction is intended to be, nor shall it <br />be deemed to be, a waiver of any City ordinance, rule or regulation. This Restriction shall be <br />governed by the laws of the State of California. Any legal action brought under this Restriction <br />must be instituted in the Superior Court of the County of Orange, State of California, or in the <br />Federal District Court in the Central District of California, Santa Ana Division. <br />21. Amendment of Restriction. No modification, rescission, waiver, release or <br />amendment of any provision of this Restriction shall be made except by a written agreement <br />executed by Homebuyer and Agency. <br />22. Agency May Assign. Agency may, at its option, assign its rights hereunder <br />without obtaining the consent of Homebuyer. <br />23. Homebuyer Assignment Prohibited. In no event shall Homebuyer assign or <br />transfer any portion of this Restriction without the prior express written consent of Agency, <br />which consent shall be given by Agency only in the event that Agency determines that the <br />assignee or transferee is a Moderate Income Household, that the assignee's or transferee's <br />monthly housing payments are at an Affordable Housing Cost, and that the assignee or transferee <br />has expressly assumed this Restriction by execution of a written assignment document to be <br />provided by Agency. This section shall not affect or diminish Agency's right to assign all or any <br />portion of its rights hereunder. <br />24. Notices. Attorneys' Fees and Costs.
