C. The obligations of Homebuyer under this Reimbursement Agreement shall <br />be absolute and Homebuyer waives any and all rights to offset, deduct or withhold any payments <br />or charges due under this Reimbursement Agreement for any reasons whatsoever. <br />d. Homebuyer waives presentment, demand, notice of protest and <br />nonpayment, notice of default or delinquency, notice of acceleration, notice of costs, expenses or <br />leases or interest thereon, notice of dishonor, diligence in collection or in proceeding against any <br />of the rights of interests in or to properties securing of this Reimbursement Agreement, and the <br />benefit of any exemption under any homestead exemption laws, if applicable. <br />e. No previous waiver and no failure or delay by Agency in acting with <br />respect to the terms of this Reimbursement Agreement shall constitute a waiver of any breach, <br />default, or failure or condition under this Reimbursement Agreement. A waiver of any term of <br />this Reimbursement Agreement must be made in writing and shall be limited to the express <br />written terms of such waiver. <br />6. Attorneys' Fees and Costs. Homebuyer agrees that if any amounts due under <br />this Reimbursement Agreement are not paid when due, Homebuyer shall pay, in addition, all <br />costs and expenses of collection and reasonable attorneys' fees paid or incurred in connection <br />with the collection or enforcement of this Reimbursement Agreement, whether or not suit is <br />filed. <br />7. Miscellaneous. <br />a. Term of Agreement. This Reimbursement Agreement shall take effect <br />upon the date set forth in the first paragraph hereof and shall terminate upon the final payment in <br />full of the Loan. <br />b. Successor is Deemed. Included in All References to Predecessor. <br />Whenever in this Reimbursement Agreement either Homebuyer or Agency is named or referred <br />to, such reference shall be deemed to include the successors or assigns thereof, and all the <br />covenants and agreements in this Reimbursement Agreement contained by or on behalf of <br />Homebuyer or Agency shall bind and inure to the benefit of the respective successors and <br />assigns thereof whether so expressed or not. <br />C. Amendment. Homebuyer and Agency may alter, modify or cancel, or <br />agree or consent to alter, modify or cancel this Reimbursement Agreement by a writing executed <br />by both of them at any time. <br />d. Notices. All notices, certificates or other communications hereunder shall <br />be sufficiently given and shall be deemed to have been received in the manner and to the <br />addresses set forth in Section 24 of the Restriction. <br />e. Further Assurances and Corrective Instruments. Homebuyer and the <br />Agency agree that they shall, from time to time, execute, acknowledge and deliver, or cause to be <br />executed, acknowledged and delivered, such supplements hereto and such further instruments as <br />may reasonably be required. <br />ATTACHMENT NO. 4-3 TO ATTACHMENT NO. 11 <br />To Affordable Housing Resale Restriction <br />Reimbursement Agreement <br />DOCSOCJ1400673 v 141200272-0001
