C-1-2447 <br />BETWEEN <br />ORANGE COUNTY TRANSPORTATION AUTHORITY <br />AND <br />CITY OF SANTA ANA <br />FOR <br />PRELIMINARY ENGINEERING OF THE SANTA ANA AND GARDEN GROVE FIXED GUIDEWAY <br />PROJECT <br />THIS AGREEMENT is effective this _J - day of IV\ A, \-7-,C 2011, by and <br />between the Orange County Transportation Authority, 550 South Main Street, P.O. Box 14184, <br />Orange, California 92863-1584, a public corporation of the State of California (hereinafter referred to <br />as "AUTHORITY"), and the City of Santa Ana, P.O. Box 1988. Santa Ana, California 92702, a <br />municipal corporation (hereinafter referred to as "CITY"). <br />RECITALS: <br />WHEREAS, AUTHORITY and the CITY entered into Cooperative Agreement C-8-1157 on <br />September 9, 2008, to define the specific terms and conditions, and roles and responsibilities for <br />completion of the Alternatives Analysis, conceptual engineering, detailed planning, project <br />management and state/federal environmental clearance for the Santa Ana/Garden Grove Fixed- <br />Guideway; and <br />WHEREAS, AUTHORITY and the CITY desire to enter into a Cooperative Agreement to <br />define the roles and responsibilities related to funding between the AUTHORITY and CITY for <br />project development activities and the Preliminary Engineering Phase (as defined in Project "S" <br />application, received by the AUTHORITY dated October 8, 2010) for the Santa Ana and Garden <br />Grove Fixed Guideway Corridor; (hereinafter referred to as "PROJECT"); and <br /> <br /> <br />.
