COOPERATIVE AGREEMENT NO. C-1-2447 <br />1 D. Eligible Project costs are described in the Federal Grant and in the FTA guidelines, <br />2 E. CITY shall consult with AUTHORITY's Project Manager for questions regarding non- <br />3 reimbursable expenses. <br />4 F. Total payments shall not exceed the Funding Amount specified in ARTICLE 2 <br />s RESPONSIBILITIES OF AUTHORITY, Paragraph C, above. No invoice shall be processed by <br />6 AUTHORITY after the Federal Grant termination date. <br />7 G. If any FTA Section 5307 funded amounts paid to CITY are disallowed or not <br />s reimbursed by the FTA for any City violation of said FTA Section 5307, CITY shall remit to <br />9 AUTHORITY the disallowed or non-reimbursed amount(s) within 30 days from receipt of <br />10 AUTHORITY's notice. All payments made by AUTHORITY hereunder are subject to the audit <br />11 provisions contained herein and within the Federal Grant, <br />12 ARTICLE 6. AVAILABILITY OF FUNDS <br />13 This Agreement will allow AUTHORITY to reimburse the CITY with Federal Funds from the <br />14 Federal Grant to CITY, The Federal Funds are subject to the terms and conditions of this <br />15 Agreement, the Federal Grant, and the applicable requirements of AUTHORITY and the FTA. This <br />16 Agreement neither implies nor obligates any funding commitment by AUTHORITY as specified in <br />17 EXHIBIT A, "FUNDING PLAN". All funds are contingent upon federal appropriation, the FTA's <br />IS approval of a grant application, and FTA's approval for the PROJECT to enter into Preliminary <br />19 Engineering. If a Letter of No Prejudice is issued by the FTA, CITY shall assume all the risk of <br />20 spending the Local Match early on in the Project. <br />21 ARTICLE 7. DELEGATED AUTHORITY <br />22 The actions required to be taken by CITY in the implementation of this Agreement are <br />23 delegated to its City Manager or his designee and the actions required to be taken by AUTHORITY <br />24 in the implementation of this Agreement are delegated to its Chief Executive Officer. <br />2s 1 <br />26 11 I <br />Page 9 of 13 <br />L:ICAMMICLERICALIWORDPROCIAGREEIAG 12447.
