other party within the ten (10) day period, in which event the Escrow Agent is authorized to <br />hold all money, papers, and documents with respect to the conveyance until otherwise <br />instructed by a mutual agreement of the parties or by a court of competent jurisdiction. ]f no <br />such demands are made, the escrow shall be closed as soon as possible. <br />J. Any amendment to escrow instructions shall be in writing and signed by both the Agency's <br />Executive Director and the Developer. At the time of any such amendment, the Escrow <br />Agent shall agree to carry out its duties as Escrow Agent under such amendment. <br />K. All communications from the Escrow Agent to the Agency or the Developer shall be <br />directed to the addresses and in the manner established in Section 607 of this Agreement for <br />notices, demands and communications between the Agency and the Developer. <br />L. The liability to the Escrow Agent under this Agreement is limited to performance of the <br />obligations imposed upon it under this section. <br />Section 203. Conveyance of Title <br />A. Subject to any extensions of time authorized by this Agreement, the Agency shall perform <br />all acts required by this Agreement to be performed by the Agency as preconditions to the <br />conveyance of title to the Property to Developer, and shall tender title to the Property to <br />Developer by the Deed, as defined in Section 406, on or before the date set for such <br />conveyance of title in the Schedule of Performance. <br />B. Subject to extensions of time authorized by this Agreement, Developer shall perform all acts <br />required by this Agreement to be performed by Developer as preconditions to the <br />conveyance of title to the Property to Developer, and shall accept title to the Property, on or <br />before the date set for such conveyance of title in the Schedule of Performance. <br />Section 204. Additional Requirements for Conveyance of Title <br />A. Developer shall provide Agency with evidence of liability insurance in accordance with <br />Section 310 of this Agreement. <br />B. Developer shall deliver to Agency an unconditional acceptance of the conditions of the soils <br />of the site satisfying the terms of Section 209 of this Agreement, and an acceptance of site <br />conditions as required by Section 208 of this Agreement. <br />Section 205.
