Section 505. Rights and Remedies are Cumulative <br />Except with respect to rights and remedies expressly declared to be exclusive in this <br />Agreement, the rights and remedies of the parties are cumulative and the exercise by either party of <br />one or more of such rights or remedies shall not preclude the exercise by it, at the same or different <br />times, of any other rights or remedies for the same default or any other default by the other party. <br />Section 506. Dama es <br />In the event that the Developer is liable for damages to the Agency, such liability shall be <br />limited to the liquidated damages specified in Section 508. In the event that the Agency is liable for <br />damages to the Developer, such liability shall not exceed costs incurred by the Developer in the <br />performance of this Agreement and shall not extend to compensation for loss of future income, <br />profits or assets; provided, however, Developer's only remedy for any breach of this Agreement by <br />Agency alleged to occur after the conveyance of the Property by Agency to Developer shall be an <br />action for specific performance of Agency's obligations. <br />Section 507. Termination by Developer <br />A. Developer may terminate this Agreement in the event that Agency fails to convey title to the <br />Property in the manner provided in this Agreement provided Developer is not in default <br />under this Agreement. In the event, however, that such failure is due to causes beyond <br />Agency's control, said right of termination shall be Developer's sole and exclusive remedy. <br />B. Notwithstanding any provisions of Section 508 to the contrary, Developer may also <br />terminate this Agreement, without penalty, if for any reason whatsoever, Developer fails to <br />satisfy any of the requirements for conveyance of title set forth in Section 204 A or B within <br />90 days of the date the Agency approves this Agreement. <br />Section 508. Termination by A ency Prior to Conveyance <br />This Agreement may be terminated by Agency in the event that prior to the conveyance of <br />title to the Property: <br />A. Developer, or any successor-in-interest assigns or attempts to assign this Agreement or any <br />rights herein, in violation of this Agreement without written consent of Agency; or <br />B. There is a substantial change in ownership of Developer contrary to the provisions of <br />Section 602 hereof; or <br />20 <br />3 - 26 <br />
