claims which the Party, and its agents, officers, employees, <br />representatives or assigns had, has or may have against the other <br />Party or its agents, officers, employees, representatives, and <br />assigns arising out of the IBC Rezoning and/or the preparation and <br />certification of the IBC EIR. As a result, each Party hereto <br />covenants not to file any future legal actions of whatever kind or <br />nature against the other Party regarding any claim in connection <br />with the IBC Rezoning or the IBC EIR whether such claim is known or <br />unknown, suspected or unsuspected, fixed or contingent. <br />8. Waiver of Civil de Section-1542. <br />Each of the Parties hereto expressly waives any and <br />all rights under Section 1542 of the California Civil Code or any <br />Federal or State statutory right, rules or principles of common law <br />or equity or those of any other jurisdiction, government or <br />political subdivision thereof, similar to Civil Code Section 1542 <br />(hereinafter referred to "Similar Provision"). Thus, no Party <br />hereto may invoke the benefit of Section 1542 or any Similar <br />Provision in order to prosecute or assert in any manner any claim <br />released hereunder. Section 1542 provides that: <br />"a general release does not extend to claims <br />which the creditor does not know or suspect to <br />exist in his favor at the time of executing <br />the release, which if known by him must have <br />materially effected his settlement with the <br />debtor." <br />9.
