-1 ❑% VF uvUIVGIL <br />11109PT,a"N(MO-1 ON FILE <br />WORK MAY -Na PROCEED <br />CLERK OF COUNCIL <br />DATE: MAY 1 8 2011 <br />FIRST AMENDMENT TO AGREEMENT <br />A-2011-035-01 <br />THIS FIRST AMENDMENT TO AGREEMENT is entered into on April 27, 2011, by <br />and between California Property Specialists, Inc., a California corporation ("Consultant") and the <br />City of Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California ("City"). <br />RECITALS: <br />A. The parties entered into that certain Agreement A-2011-035, dated February 22, 2011, <br />(hereinafter "said Agreement") by which Consultant has provided property acquisition <br />management services. <br />B. After the execution of said Agreement, Consultant determined that staff with expertise in <br />relocation services would provide efficient services at lower rates. <br />C. In accordance with the terms and conditions of said Agreement, the parties wish to add <br />approved staff to provide relocation services. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this First Amendment to <br />Agreement, the parties agree as follows: <br />1. Exhibit A-1, CONSULTANT'S PROPOSAL, shall be amended to replace the Project <br />Management Team (p.16) and the Price Proposal (p. 30) with the attached pages reflecting <br />the inclusion of Relocation Experts Georgia Marquis and Peter Rhoad, as set forth in Exhibit <br />A-2, attached hereto and incorporated by this reference. <br />2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Agreement <br />on the date and year first written above. <br />ATTEST: <br />,Gl 1 <br />MARIA D.
