JUL 2 6 201 <br />N-2010-040-001 <br />pori ,BTawTr� <br />�M i G�QeI WA � sc <br />FIRST AMENDMENT TO AGREEMENT <br />THIS FIRST AMENDMENT TO AGREEMENT is entered into on June, 1 201 1, by and between <br />COPWARE, INC. ("CopWare"), a corporation, (hereinafter "Consultant"), and the City of Santa Ana, <br />a charter city and municipal corporation organized and existing under the Constitution and laws ofthe <br />State of California (hereinafter "City"). <br />RECITALS: <br />A. City and Consultant entered into Agreement #N-2010-040, dated June 2, 2010, (hereinafter "said <br />Agreement") by which City purchased from Consultant a Site License which would permit unlimited <br />usage ofthe CPOLS and Codes software by all City of Santa Ana, Santa Ana Police Department, <br />employees during the annual subscription period, without maintaining and reporting to CopWare the <br />total individual or department usage ofthe software. <br />13. In accordance with the terms and conditions of said Agreement, the Parties desire to extend the <br />term of said Agreement for an additional one-year period and increase compensation to provide for <br />services during the extended term. <br />NOW, THEREFORE, in consideration ofthe mutual and respective promises in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except as herein amended in this First <br />Amendment, the parties agree as follows: <br />1. Section 2, COMPENSATION, shall be amended to increase compensation by an amount not to <br />exceed $5,150.00, plus any applicable tax, to pay for services during the extended term. The total <br />sum to be expended under this Agreement shall not exceed $25,000.00, annually, during the amended <br />term of this Agreement_ <br />2. Section 3, TERM, shall be amended to extend the term of said Agreement for an additional <br />one-year period through May 31, 2012. <br />3.
