II <br />CLERK OF COUNCIL <br />DATE: JUt 2 8 2011 <br /> <br />A-2011-142 <br /> <br />CONSULTANT AGREEMENT <br /> <br />THIS AGREEMENT, made and entered into this 6th day of June, 2011 by and <br />between Management Partners Incorporated (hereinafter "Consultant"), and the City of <br />Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California (hereinafter "City"). <br /> <br />RECITALS <br /> <br />A. The City desires to retain a consultant to provide professional senior level <br />management assistance to the City Council and the Executive Management <br />Team. <br /> <br />B. Consultant represents that Consultant is able and willing to provide such <br />services to the City. <br /> <br />C. Consultant is an independent contractor who, in rendering services, is to exercise <br />its independent judgment and represents the City only as to the results of its <br />work and not as to the means whereby the work is to be accomplished. <br /> <br />NOW THEREFORE, in consideration ofthe mutual and respective promises, and <br />subject to the terms and conditions hereinafter set forth, the parties agree as follows: <br /> <br />1. SCOPE OF SERVICES <br /> <br />Consultant shall provide senior level management assistance to the City on public <br />policy and strategic direction issues including, but not limited to, the following: <br />-Conducting strategic planning and visioning; <br />-Providing strategic direction for major initiatives; <br />-Providing advice on labor negotiations; <br />-Assisting in managing the implementation of a budget stabilization plan; <br />-Providing analysis on policy matters and complex municipal issues; and <br />-Facilitating team building within the organization and with the City Council. <br /> <br />It is agreed between the Parties hereto that Jan Perkins, a Partner in Consultant's <br />organization, shall be the principal operative of Consultant performing the services as <br />required of Consultant hereunder. Should Consultant wish to substitute any other <br />individual in the place of Jan Perkins as the principal service provider Consultant shall <br />not take such action without reasonable prior notification to the City and approval by the <br />City of any such substitute. <br /> <br />II <br />II <br />II <br />
