N- 2011 -095 WC required if consultant has employees O P�GSL1� pVC' _ 3AGREEMENT WITH c RRILL CADY TO PRODUCE G VCc � THE 2011 FIESTAS PATRIAS PARADE This Agreement is entered into on July 1, 2011, by and between the City of Santa Ana, a charter City and municipal corporation duly organized and existing under the Constitution and laws of the state of California, ( "City ") and Cherrill Cady, an individual (hereinafter referred to as "Producer "). RECITALS A. The City desired to retain a consultant having special skill and knowledge in the field of organization and production of parades in order to plan and produce the 2011 Fiestas Patrias Parade (hereinafter "Parade ") for the City. B. Producer represents that she has produced similar parades and that she is able and willing to provide such services to the City. C. The, City has also contracted with CCG, Inc., (the Promoter) to produce the larger festival of which the parade shall be a part. D. In undertaking the performance of this Agreement, Producer represents that she is knowledgeable in the field and that any services performed by Producer under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional Producer in the field. 1. SCOPE OF WORK Producer shall, coordinate and provide logistical services for the Fiestas Patrias Parade on Sunday, September 18, 2011, in the downtown area of the City of Santa Ana in accordance with the Scope of Work set forth in Exhibit A, attached hereto and incorporated herein by this reference. Said services will be completed on the schedule agreed, in writing, between the City and Producer. 2. TERM. This Agreement shall commence on the date first written above and terminate upon the completion of all accounting for expenses, but no later than December 31, 2011. 3. CONSIDERATION. In consideration for the rights granted hereunder, City agrees to pay Producer $10,000.00 as follows: (a) fifty percent (50 %) upon execution of this Agreement; an d (b) fifty percent (50 %) upon City's acceptance of Producer's final accounting. 4. LIMITATION OF LIABILITY Without limiting any express financial or liability provisions provided for in this Agreement, City shall not be liable to Producer for any indirect, consequential, exemplary, special, incidental or punitive damages, including, without limitation, lost business, revenue, profits or goodwill, arising in connection with this Agreement under
