Contractor shall furnish to SBWIB, Inc. evidence of any insurance required by this <br />Agreement. A Certificate of Insurance from an insurer admitted to do business in the State of <br />California will be provided, indicating that the respective policies meet the following requirements: <br />1. The City of Hawthorne/SBWIB, Inc., its officers and employees shall be <br />named as additional insured. <br />2. Insurance shall not be canceled or terminated without 30 days written notice <br />to SBWIB, Inc.. <br />3. Insurance shall be primary and any insurance held by SBWIB, Inc. for its own <br />protection shall be excess and shall be effective only upon exhaustion of Contractor's insurance. <br />4. Insurance shall be maintained for the duration of the Agreement, including <br />any period extended beyond the expiration date of this Agreement required to complete <br />performance. <br />F. Self-Insurance <br />Notwithstanding the insurance required above, SBWIB, Inc., at its own option, may <br />accept as an equivalent for any such coverage, evidence of an on-going program of self-insurance <br />together with excess coverage. Said equivalent, in order to satisfy the requirements herein <br />contained, shall be subject to approval of the SBWIB, Inc. Attorney. <br />VII -- HOLD HARMLESS <br />Contractor agrees to indemnify, defend, save and hold harmless City of Hawthorne, SBWIB, <br />Inc., its officers, employees, and agents against any and all costs, expenses, claims, suits, and <br />liability for bodily or personal injury to or death of any person and for injury to or loss of any property, <br />or for any indebtedness or obligations, resulting there from or arising out of and in any way <br />connected with the alleged negligence or wrongful acts or omissions of Contractor, its officers, <br />employees, contractors, agents or representatives, in performing or failing to perform any services <br />required herein to be performed by Contractor or incurred by Contractor in disbursing or using any <br />9 <br />20D-11
