CONSENT OF ASSURED GUARANTY MUNICIPAL CORP. <br />(FORMERLY KNOWN AS FINANCIAL SECURITY ASSURANCE INC). <br />The undersigned hereby certifies that she is authorized to execute and deliver this <br />Consent on behalf of Assured Guaranty Municipal Corp. (formerly known as Financial <br />Security Assurance Inc.) ("AGM"), as issuer of a municipal bond insurance policy (the <br />"Policy") for the original aggregate principal amount of $12,450,000 in City of Santa Ana <br />(Orange County, California) Certificates of Participation (1998 City Hall Expansion <br />Project) (the "Bonds"). AGM hereby consents to the Land Lease Agreement between <br />the City of Santa Ana (the "City") and T-Mobile West Corporation for Santa Ana City <br />Yard (the "Land Lease Agreement", In the form attached hereto as Exhibit A). AGM's <br />consent is provided pursuant to Section 8.2 of the Lease Agreement dated as of <br />January 1, 1998 between the Santa Ana Financing Authority (the "Authority") and the <br />City (the "Lease Agreement") and Section 8.2 of the Site and Facility Lease dated as of <br />January 1, 1998 between the City and the Authority (the "Site and Facility Lease"). <br />Neither this consent nor any past,, present or future consents, waivers, actions, <br />amendments or other agreements, individually or in combination, may be construed to <br />imply or impose upon AGM any intention, agreement, obligation or undertaking to grant <br />future consents, waivers or amendments, or to limit the ability of AGM to exercise any <br />and all of its rights under the Lease Agreement, the Site and Facility Lease or the Policy, <br />all of which shall remain unmodified and in full force and effect except as to the Land <br />Lease Agreement consented. to above.
