A-2009-118-02 <br />INSURANCE NOT REQUIRED <br />WORK MAY PROCEED <br />CLERK OF COUNCIL <br />Dom, �-I& -11 <br />SECOND AMENDMENT TO CONSULTANT AGREEMENT <br />THIS SECOND AMENDMENT TO AGREEMENT, made and entered into this 2nd day <br />of August, 2011 by and between GeoSpatial Technologies, Inc. ("GST"), a corporation, <br />(hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal corporation <br />organized and existing under the Constitution and laws of the State of California (hereinafter <br />"City"). <br />�• <br />RECITALS <br />� Cv <br />A. The parties entered into Agreement # A-2009-118, dated August 3, 2009, (hereinafter <br />"Agreement") by which Consultant provided computer software and technical support for <br />crime mapping, analysis, and reporting solutions. <br />B. The parties entered into the First Amendment to Agreement #A-2009-118-01, dated <br />September 14, 2010, to provide additional support and maintenance of the installed software, <br />QJ extend the term through August 2, 2011, and to increase compensation to pay for an <br />additional term. <br />C. In accordance with the terms and conditions of said Agreement, the parties wish to amend <br />said Agreement to extend the term of the software support and maintenance provisions for a <br />one-year period and add compensation to pay for the support and maintenance services <br />during the extended term. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and <br />subject to all the terms and conditions of said Agreement, except those amended in this <br />Second Amendment to Agreement, the parties agree as follows: <br />1. Section 2, COMPENSATION, shall be amended to increase compensation to <br />$10,500.00 to pay for an additional term, August 3, 2011 through August 2, 2012, of <br />maintenance and support services for the products installed pursuant to said Agreement, <br />as set forth in Exhibit A, attached hereto and incorporated by reference. <br />2. Section 3, TERM, shall be amended to extend the warranties, maintenance and <br />support services for an additional period from August 3, 2011 through August 2, 2012. <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall <br />remain in full force and effect. <br />
