Municipal Code. Such programs, budgets, and assessments must be consistent <br />with this Management Plan. Downtown, Incorporated shall be responsible for the <br />general oversight of the District including approval of the annual work programs <br />and budgets, monitoring performance, and ensuring compliance with appropriate <br />rules and regulations, including a Community Management District management <br />agreement with the City of Santa Ana. Upon Community Management District <br />adoption /renewal, the City of Santa Ana and Downtown, Incorporated will <br />execute a contract for the performance and delivery of the stipulated program <br />services over the life of the District. <br />The Board of Directors of Downtown, Incorporated shall meet generally on a <br />monthly basis. When related to Community Management District matters, such <br />meetings shall be subject to the State of California "Brown Act" open meeting <br />requirements. Records of this corporation pertaining to Community Management <br />District - related matters shall be available for public review as stipulated by State <br />law. Pursuant to the Municipal Code, the Downtown, Incorporated Board of <br />Directors shall file, for approval by the City Council, an annual report for the <br />upcoming year for which assessments shall be levied. <br />Downtown, Incorporated will employ a management professional as Executive <br />Director /CEO whose duties shall include the implementation of the programs and <br />activities of the CMD as well as the management of the day -to -day affairs of the <br />CMD and Downtown, Incorporated. Additional staff may be employed as needed <br />and as provided for in the budget. <br />M.
