THIS SECOND AMENDMENT TO AGREEMENT is entered into on July 1, 201 1, by <br />C?,r\`?y and between Knightsbridge Architectural Products, Inc. ("Consultant") and the City of Santa Ana <br />?? A h ? ? ? ("City„). <br />RECITALS: <br />A. The parties entered into that certain Agreement N-2009-075, dated July 1, 2009, (hereinafter <br />"said Agreement") by which Consultant has provided signage design, manufacture, <br />refurbishment, installation and repair services. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the <br />fee schedule, add compensation and extend the term of said agreement. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this Second Amendment to <br />Agreement, the parties agree as follows: <br />1 . Section 1, SCOPE OF SERVICES, shall be amended by replacing the pricing list attached to <br />said Agreement as Exhibit A, with a new Standard Pricing schedule, attached hereto as <br />Exhibit "A-1 ", and incorporated by this reference. <br />2. Section 2, COMPENSATION, shall be amended to add $25,000 to pay for services provided <br />during the 201 1 -2012 fiscal year. <br />3. Section 3, TERM, shall be extended for an additional one year period, through June 30, 2012. <br />4. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Agreement <br />on the date and year first written above. <br />ATTEST: <br />Maria D.
