cu��GZ�T� <br />INSURANCE NOT ON FILE N- 2009 - 138 -002 <br />WORK MAY NOT PROCEED <br />CLERK OF COUNCIL <br />DATE: aUG � ¢ �Qj1 SECOND AMENDMENT TO AGREEMENT <br />�'., FMs� 1� THIS SECOND AMENDMENT TO AGREEMENT is entered into on June 6, 2011, by <br />�.t c1-��G and between MAXIMUS Consulting Services, Inc., a California corporation ( "Consultant ") and <br />the City of Santa Ana, a charter city and municipal corporation organized and existing under the <br />Constitution and laws of the State of California ( "City "). <br />RECITALS: <br />A. The City and MAXIMUS Financial Services, Inc. entered into that certain Agreement N- <br />2009 -138, dated October I, 2009, (hereinafter "said Agreement ") by which Consultant has <br />provided State Mandate Reimbursement claims services. <br />B. On October 6, 2008 MAXIMUS Financial Services, Inc., reorganized and changed its name <br />to MAXIMUS Consulting Services, Inc. <br />C. The parties desire to commence the fiscal year claims data collection July rather than <br />October. <br />D. In accordance with the terms and conditions of said Agreement, the parties wish to amend <br />said Agreement to provide claims process services for an additional one -year period, and add <br />compensation to pay for services during the extended term_ <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all <br />the terms and conditions of said Agreement, except those amended in this Second Amendment to <br />Agreement, the parties agree as follows: <br />1 . Section 2, TERM, shall be amended to extend the term of said Agreement for an additional <br />one -year period, through fiscal year 2011 -2012. <br />2. Section 3., COMPENSATION, shall be deleted in its entirety and replaced with the <br />following: <br />"City shall be billed on an annual fixed fee basis. Consultant agrees to file all eligible annual <br />fiscal year 2011 -2012 actual cost reimbursement claims for a fixed fee of Twelve Thousand <br />Dollars ($12,000). City shall pay forty percent (40 %) September 30; forty percent (40 %) <br />December 3 1 ; and twenty percent (20 %) May 3 1 ." <br />3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in <br />full force and effect. <br />/// <br />/// <br />/// <br />
