INSURANCE NOT REQUIRED <br />WORK MAY PROCEED <br />CLERK OF COUNCIL <br />DATE: 'AUG 2 4 2Q11 <br />d-. c??n ,p C- ?? <br />AGREEMENT FOR PROVISION OF <br />BUDGET AND FINANCIAL ANALYSIS AND <br />CONSENSUS BUILDING SERVICES <br />N-2011-101 <br />THIS AGREEMENT, made and entered into this ?tday of 201 1 by and <br />between David Millican, an individual (hereinafter "Consultant"), and t City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of <br />the State of California (hereinafter "City"). <br />RECITALS <br />A. The City desires to retain a consultant having special skill and knowledge in the field of <br />municipal budget and financial analysis. <br />B. Consultant represents that Consultant is able and willing to provide such services to the <br />City. <br />C. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting fine in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Consultant shall analyze the City's budget and financial forecasts for the purpose of <br />developing options for the City to implemern to resolve long term budget imbalances and provide <br />long term budget stabilization strategies. Consultant agrees to perform, in a timely and efficient <br />manner all services as may be requested by the City Manager. Consultant shall confirm his <br />acceptance of work requested by City in writing by a-mail or letter. <br />2. REPRESENTATIVES <br />For purposes of implementing this Agreement, the representative of City shall be the City <br />Manager, or his designated representative. Except as may be otherwise stated. herein, such <br />representative shall have the authority to act on behalf of the City in carrying out the terms of <br />this Agreement. <br />3. DELIVERY OF WORK PRODUCT -OWNERSHIP <br />Consultant warrants and represents that he has the absolute right to enter into and perform <br />this Agreement and will perform his obligations hereunder in accordance with standards and
