NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS <br />1. PURPOSE. <br />The purpose of this MOU is to create a basic governance structure (the "Partnership") for the <br />implementation of a United States Department of Labor National Emergency Grant (NEG) project to <br />serve California workers who have been separated from employment in multiple industrial sectors across <br />several geographically contiguous Local Workforce Investment Areas (LWIAs). This MOU also sets <br />forth the responsibilities of the parties as they relate to a collaborative, funded effort to plan and <br />implement integrated workforce services for the target population. <br />To ensure the maximum flexibility for all parties under this MOU, it is agreed that the parties may enter <br />agency-specific agreements that are in furtherance of and complementary to this MOU. <br />2. TERM OF THE AGREEMENT. <br />This agreement shall become effective as of the date all parties have provided their respective signatures <br />hereto and shall continue through March 17, 2013 unless terminated or amended by the parties hereto as <br />set forth herein. <br />3. DECISION-MAKING PROCESS. <br />The Partnership agrees that all decisions relating to the development, implementation, and operation of <br />this MOU, and its related NEG project, will first be attempted by consensus. If consensus cannot be <br />reached, then unresolved issues shall be decided by a majority vote of all parties to this MOU. Each party <br />to this agreement is allocated one vote. A quorum for the conduct of business shall be a majority of the <br />voting parties to the agreement. <br />4. PROCEDURES FOR AMENDMENT. <br />This MOU may be amended by a majority vote of the members of the Partnership. If any provision of the <br />MOU is held invalid, the remainder of the MOU shall not be affected. <br />5. PARTNER ROLES: <br />The common roles and responsibilities of the Multi-Sector partners are as follows; <br />a) Maximize grant effectiveness within the parameters of federal regulations <br />through collaborative service delivery. <br />b) Collect and report data on WIA Core, Intensive, Training, and Supportive <br />Services provided to DW participants on a regular basis to the partnership's administrative <br />entity. <br />2
