X,)RK MAY1 pPRIYEEi, Z 2- - Pt , SECOND AMENDMENT TO AGREEMENT A-2010-190-02 THIS SECOND AMENDMENT TO AGREEMENT is entered into on July 18, 2011 by and between Knowledge & Intelligence Program Professionals ("KIPP'), a California corporation (hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). RECITALS: J A. The parties entered into Agreement # A-2010-190, dated October 10, 2010, (hereinafter "said Agreement") by which Consultant agreed to conduct a Terrorism Liaison Officer (TLO) Training Program, collectively "TLO Training." B. The parties entered into First Amendment to Agreement # A-2010-190-01, dated December 30, 2010, to amend the Scope of Services to provide for additional TLO Training. C. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of Services to provide an additional TLO Training Basic Course. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement except those amended in this Second Amendment to Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended by amending Exhibit A, as set forth in Exhibit A-1, attached hereto and incorporated by this reference.
