AGREEMENT FOR PROVISION OF <br />WEED AND DEBRIS REMOVAL SERVICES <br />THIS AGREEMENT, made and entered into this 3`d day of October, 2011 by and <br />between Naranjo Landscape, Inc., a California Limited Liability Corporation (hereinafter <br />"Contractor"), and the City of Santa Ana, a charter city and municipal corporation organized and <br />existing under the Constitution and laws of the State of California (hereinafter "City"). <br />RECITALS <br />A. The City desires to retain a Contractor having special skill and knowledge in the field of <br />weed and debris removal services. <br />B. Contractor represents that Contractor is able and willing to provide such services to <br />the City. <br />C. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Contractor shall perform those services as set forth in City's Request for Proposals for <br />Weed and Debris Removal Services, dated August 24, 2011, attached as Exhibit A to this <br />Agreement, along with Contractor's Proposal, attached as Exhibit B. In the event of any conflict <br />in the terms of this Agreement and any attachment or exhibit hereto, the terms of this Agreement <br />shall prevail, followed by the City's Specifications (Exhibit A) and then by Contractor's Proposal <br />(Exhibit B). Contractor shall provide experienced and knowledgeable staff to perform services <br />under the direction of City staff. The Contractor shall be committed to provide adequate staffing <br />levels at all times in order to adhere to established schedules. The Contractor shall be <br />knowledgeable of and comply with federal, state and local regulations. <br />Coordination with the City, other contractors and agencies will be required to achieve <br />satisfactory and timely delivery of the final work product. Coordination may include, but not be <br />limited to, coordination with neighborhood and civic groups, City Commissions and Council <br />meetings, local and state agencies and boards and contractors. The City will decide the manner in <br />which the coordination efforts with be conducted. At the City's option, coordination efforts may <br />be performed by the Contractor's direct contact, by the Contractor acting through the City or by <br />the City only. When coordination efforts require agreements, such agreements shall be <br />coordinated through the City. <br />2. COMPENSATION <br />a. City agrees to pay, and Contractor agrees to accept as total payment for its services, <br />the rates and charges identified in its Proposal attached as Exhibit B.. The total sum to be <br />25C-5
