T INSURANCE NOT ON FILE A-2011-057-01 WORK MAY NDI PROCEED CLERK OF COUNCIL DATE: SEP 9 2011 FIRST AMENDMENT TO AGREEMENT THIS FIRST AMENDMENT TO AGREEMENT is entered into on July 25, 2011, by and between AESCO. Inc., a California corporation ("Consultant") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). 3 RECITALS: 1 A. The parties entered into that certain Agreement A-2011-057, dated March 7, 2011, (hereinafter "said Agreement") by which Consultant has provided material inspection and testing services for the City's capital improvement projects. B. The parties desire to amend Exhibit "C" Fee Schedule" to include fees for all services which Consultant may be requested to provide. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1 . Section 2, COMPENSATION, shall be amended to supplement Exhibit C - Fee Schedule, with a new Exhibit C-1, Fee Schedule, attached hereto and incorporated by this reference. In the event a service is not included in Exhibit C, the service will be provided at the rate set forth in Exhibit C-1. 2. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
