INSURANCE ON FILE WORK MAY PROCEED UNTIL INSURANCE EXPIRES -0 ( - Zo C D E: 2r Z COUNCIL SECOND AMENDMENT TO AGREEMENT DATE: _ A-2011-185-01 THIS SECOND AMENDMENT TO AGREEMENT is entered into on September, 201 1, by and between Commercial Cleaning Systems, Inc., a California corporation ("Contractor") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). RECITALS: 1 A. The City and Pacific Building Care, Inc., entered into that certain Agreement A-2009-112, dated August 3, 2009, (hereinafter "said Agreement") by which Contractor has provided janitorial maintenance services at the Santa Ana Regional Transportation Center and various City park centers. B. As of August 5, 2011, Pacific Building Care, Inc. changed its name to Commercial Cleaning Systems, Inc. - C. By Agreement # A-2011-185, dated July 18, 2011, said Agreement was amended to exercise the first option to extend and add compensation to pay for services. D. In accordance with the terms and conditions of said Agreement, the parties wish to again amend said Agreement to include additional facilities for which Contractor will provide janitorial maintenance services, and increase compensation to pay for services at the additional sites. WHEREFORE, in consideration ofthe covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Second Amendment to Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to add the following Park Centers for which Contractor will provide janitorial maintenance services: Jerome Center — 726 S. Center St., for a fee of $2,586.06 per month Interpretative Center (Wild Life) - 600 E. Memory Lane, for a fee of $292.82 per month. The full list of facilities is attached hereto as Exhibit B-1, and incorporated by reference. 2. Section 2_a., COMPENSATION, shall be deleted in its entirety and replaced with the following: "a. City agrees to pay, and Contractor agrees to accept as total payment for its services: 1. At the Santa Ana Regional Transportation Center, the rates and charges identified in Exhibit A, Attachment H to said Agreement. The total sum to be expended for janitorial services and supplies at SARTC shall not exceed $160,000.00 during the extended one-year term of said Agreement. 2. At the Park Centers, the rates and charges identified in Exhibit B to said Agreement. The amount expended for janitorial services and supplies at the Park Centers shall not exceed $200,509.00, plus an eight percent (81xo) contingency for unanticipated services. The total amount to be expended during the extended one-year term of said Agreement shall not exceed $221,551 ."
