Upon any amendments to this Agreement, the <br /> <br /> Authority shall prepare and timely file with the Orange County Clerk and the Office of <br /> <br /> the Secretary of State the information required by Government Code Sections 6503.5 <br /> <br /> and 53051. <br /> <br /> <br /> <br /> 3. Notice to Members. Notice to members shall be deemed given when <br /> <br /> mailed to them, first class, postage prepaid, or faxed to the address/or fax number set <br /> <br /> out by their signatures. <br /> <br /> <br /> 4. Amendment. This Agreement may not be amended or modified except by <br /> <br /> a vote of two-thirds of all of the members; provided however, that no amendment shall <br /> <br /> change the cap, the cost calculation methodology or the length of a term, during the <br /> <br /> pendency of any term. This Agreement represents the sole and entire agreement <br /> <br /> between the parties and supersedes all prior agreements, negotiations and discussions <br /> <br /> between the parties hereto and/or their respective counsel with respect to the subject <br /> <br /> matter of this Agreement. <br /> <br /> <br /> 5. Headings.
