EXHIBIT A <br />February 1, 2012 <br />Ms. Nancy Edwards <br />Community Development Agency <br />City of Santa Ana <br />20 Civic Center Plaza, M -25 <br />Santa Ana, CA 92701 <br />Edward Henning &, Associates <br />URBAN REVITALIZATION - FUNDING <br />Re: Consulting Services Proposal — Santa Ana Downtown CMD Advisory Services <br />Dear Ms. Edwards: <br />I am pleased to submit this proposal to continue to provide advisory services to the City of Santa Ana in <br />conjunction with the Downtown Community Management District (CMD). Edward Henning, owner of <br />Edward Henning & Associates, is the proposer on this project. The hourly billing rate for Mr. Henning is <br />$125/hr. It is recommended that a not to exceed figure of $15,000 be allocated for these CMD related <br />advisory services with an unlimited term. The scope of services includes, but is not limited to the <br />following: <br />1. General Advisory — this consists of phone discussions, attendance at meetings, review and <br />response to emails regarding CMD issues including but not limited to: <br />A. Boundaries <br />B. Benefit Zones <br />C. Assessment Rates /Structure <br />D. Property owner inquiries <br />E. CMD amendment procedures <br />F. CMD financial and work plan related matters and amendments <br />2. Formal CMD Amendments — this includes but is not limited to: <br />A. Data base amendments <br />B. Revised assessment calculations <br />C. Management Plan revisions <br />D. Engineer's Report revisions <br />E. Coordinate preparation and recordation of new assessment roll, assessment notice and <br />assessment diagram <br />F.
